Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

  • access the Services; and
  • download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: hello@foodfluence.ai. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and contributions

Please review this section and the "PROHIBITED ACTIVITIES" section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.

You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material ("Contributions"). Any Submission that is publicly posted shall also be treated as a Contribution.

You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites.

When you post Contributions, you grant us a license (including use of your name, trademarks, and logos): By posting any Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to: use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Contributions (including, without limitation, your image, name, and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, your Contributions, and to sublicense the licenses granted in this section. Our use and distribution may occur in any media formats and through any media channels.

This license includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide.

You are responsible for what you post or upload: By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services by linking your account through the Services to any of your social networking accounts, you:

  • confirm that you have read and agree with our "PROHIBITED ACTIVITIES" and will not post, send, publish, upload, or transmit through the Services any Submission nor post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
  • to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution;
  • warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions; and
  • warrant and represent that your Submissions and/or Contributions do not constitute confidential information.

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party's intellectual property rights, or (c) applicable law.

We may remove or edit your Content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

Copyright infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the "COPYRIGHT INFRINGEMENTS" section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PURCHASES AND PAYMENT

We accept the following forms of payment:

  • Discover
  • American Express
  • Mastercard
  • Visa

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle is monthly.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at hello@foodfluence.ai.

Creator Payments

By accepting these Terms of Service, you acknowledge and agree that payments to creators are non-refundable once the creator has withdrawn the corresponding funds. This does not entitle you to a refund before withdrawal or limit the other non-refundability provisions in these Terms.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

Rollover Credits and Active Plan Requirement

When cancellation of your subscription plan takes effect, you may no longer use rollover credits to send collaborations or collaboration invites. You must maintain an active subscription plan to send collaborations or collaboration invites to creators. Rollover credits accumulated during an active subscription period become unavailable for use as of the effective date of cancellation, regardless of when those credits were earned or rolled over.

Subscription Authorization

By enrolling in a subscription with FoodFluence and being subscribed prior to or as part of accepting these Terms of Service, you explicitly agree to the terms outlined herein. You authorize FoodFluence to charge your selected payment method on a recurring basis in accordance with the billing terms presented at checkout. You acknowledge that this subscription renews automatically unless canceled in accordance with the cancellation policy described below.

Chargeback Waiver

By subscribing—whether prior to or upon accepting these Terms—you knowingly and voluntarily waive any right to dispute or initiate a chargeback for subscription fees not canceled prior to renewal. This includes, but is not limited to, claims of forgotten cancellation, lack of usage, or unawareness of renewal. If you initiate a chargeback in violation of this agreement, FoodFluence reserves the right to:

  1. Dispute the charge with supporting evidence, including these Terms; and
  2. Pursue legal action to recover any reversed funds, including all associated fees, costs, and expenses incurred during the recovery process.

Cancellation Policy

To cancel your subscription and stop future subscription renewals, you must either:

  1. Cancel directly through your account settings, or
  2. Send a written cancellation request to billing@foodfluence.ai prior to your next billing date.

Cancellations are not retroactive, and no refunds will be issued for charges processed before a valid cancellation request is received. Cancellation does not eliminate any remaining payment obligations under a Commitment Plan or for collaborations, as described below.

Commitment Period Requirements

If you subscribe to a plan with a commitment period of three (3) months or longer (a "Commitment Plan"), you agree to pay for the entire commitment period, regardless of whether you cancel your subscription before the commitment period ends. If you cancel your subscription before the end of your commitment period, you will be required to pay the remaining balance of the commitment period in full. This payment is due immediately upon cancellation and will be charged to your payment method on file. Your access to the Services will continue until the end of the commitment period, at which point your subscription will be canceled and access will terminate.

For example, if you subscribe to a 3-month commitment plan and cancel after the first month, you will be required to pay the remaining two (2) months of the commitment period. This policy applies to all Commitment Plans with commitment periods of three (3) months or longer, regardless of whether the commitment period is paid monthly or in advance.

Effect of Cancellation on Active Collaborations

As of the effective date of cancellation or non-renewal of your subscription, FoodFluence reserves the right to immediately suspend or terminate all active and pending collaborations associated with your account. This includes, but is not limited to, any influencer campaigns, brand partnerships, or creator communications initiated through the platform. By canceling your subscription, you acknowledge and agree that FoodFluence bears no responsibility for any disruption, loss, or consequence arising from such cancellations.

Notwithstanding the foregoing, you will be charged for all collaborations that are active before or after the effective date of cancellation or non-renewal, regardless of when they were initiated or whether content has been posted. All such charges are non-refundable. Cancellation, non-renewal, or subsequent suspension or termination of a collaboration does not eliminate these payment obligations. These billing provisions do not authorize you to initiate new collaborations or send collaboration invites without an active subscription plan.

As of the effective date of cancellation, you will no longer be able to use rollover credits to send collaborations or collaboration invites. You must maintain an active subscription plan to send collaborations or collaboration invites to creators. For more details, see Section 6: Subscriptions - Rollover Credits and Active Plan Requirement.

Pause Policy

You may request to temporarily pause your account by contacting a member of the FoodFluence team at hello@foodfluence.ai. Account pauses are granted at FoodFluence's sole discretion and may not exceed a period of fourteen (14) consecutive days per pause. Customers are permitted a maximum of two (2) pause periods per fiscal year. During a pause, all account access, campaigns, and collaborations will be suspended. Billing will not be prorated, refunded, or extended during the pause period, and your subscription term will continue to run. If your account remains paused beyond the approved period, FoodFluence reserves the right to permanently deactivate your account and delete all associated data, campaigns, and collaborations.

Inactive Agency Accounts

For agency accounts, once you are no longer active on the platform (whether due to cancellation, account suspension, termination, or any other reason), FoodFluence reserves the right to discuss with brands who may still be interested in working with creators previously connected through your agency account. This includes, but is not limited to, facilitating direct relationships between brands and creators, introducing brands to alternative agency partners, or continuing creator-brand relationships through FoodFluence's platform in a manner that serves the best interests of creators and brands.

8. USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Services and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

  • Your Contributions are not false, inaccurate, or misleading.
  • Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.

  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  • Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
  • Your Contributions do not violate any applicable law, regulation, or rule.

  • Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

9. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain (or you may be sent via the Services) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content").

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

FoodFluence operates as a facilitation platform that connects brands with independent content creators. FoodFluence provides a marketplace and technology platform only and makes no guarantees regarding creator posting, publication, tagging, or distribution of content. Creators are independent third parties and are not agents, employees, or representatives of FoodFluence. FoodFluence bears no liability for any creator's failure, delay, or refusal to post, share, publish, tag, or distribute content. Any disputes or losses arising from creator non-performance are solely between the brand and creator. No refunds, damages, or compensation are owed by FoodFluence due to creator non-performance, regardless of payment status.

10. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

FoodFluence shall not be liable for any failure by any creator to post, publish, tag, or distribute content, regardless of whether payment has been made to the creator.

FoodFluence shall not be liable to any creator for compensation owed in connection with a collaboration where the participating brand fails to pay, defaults on payment, initiates a chargeback, or otherwise does not remit the funds for that collaboration.

FoodFluence shall not be responsible or liable for any injury, illness, allergic reaction, or other health-related issue resulting from the consumption of food products, use of skin care products, participation in dining experiences, or interaction with any establishments, products, or services featured or promoted through the Services. Users acknowledge and agree that they participate in any food-related or skin care-related activities at their own risk and are solely responsible for making informed decisions regarding food consumption, product usage, including awareness of any allergies, dietary restrictions, or skin sensitivities.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services.

You agree to defend, indemnify, and hold FoodFluence harmless from and against any claims, demands, losses, or damages arising from or related to any creator's failure to post, publish, tag, or distribute content, regardless of payment status.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

12. OWNERSHIP AND LICENSING OF CONTENT (CREATORS)

All content created by Influencers as part of collaborations facilitated through Foodfluence.ai, including but not limited to photographs, videos, text, and any other deliverables (collectively referred to as the "Content"), shall remain the property of the Influencer. However, upon acceptance by the Influencer for the collaboration, the Influencer grants the brand a comprehensive, irrevocable, perpetual, worldwide, royalty-free, and transferable license to use, reproduce, distribute, modify, publish, display, and otherwise exploit the Content for any lawful purpose. This license includes, but is not limited to, use in advertising campaigns, marketing efforts, social media channels, website content, and print or digital promotional materials. The brand is not required to provide attribution or tag the Influencer when using the Content.

13. CREATOR ELIGIBILITY

To participate as a creator on the FoodFluence.ai platform, you must meet the following requirements:

  1. Minimum Age: You must be at least 18 years old to register and use FoodFluence.ai as a creator.
  2. Compliance: By joining, you represent and warrant that you meet the minimum age requirement and that all information you provide is accurate and truthful.
  3. Legal Capacity: You must have the legal right and capacity to enter into binding agreements and receive payments in your country of residence.
  4. Prohibited Use by Minors: FoodFluence.ai does not knowingly permit individuals under the age of 18 to participate as creators. Any accounts found in violation of this policy will be suspended or terminated.
  5. Authenticity of Content (No AI-Generated Media): Creators must produce original, human-generated content for all collaborations and posts. The use of artificial intelligence or automated tools to generate, edit, or simulate content—such as images, videos, or captions—is strictly prohibited unless explicitly approved in writing by FoodFluence.ai. Violations may result in removal from campaigns or permanent account suspension.

Credit Usage Policy

Credits issued or purchased through FoodFluence are one-time use only and non-transferable. Once a credit has been redeemed for a campaign, collaboration, or any other platform service, it is considered fully consumed and cannot be reused, reinstated, or exchanged for cash or future credit. Unused credits will expire in accordance with the terms stated at the time of issuance and are not eligible for refunds or extensions.

Creator Payments and Withdrawals

Creators may earn compensation through paid collaborations facilitated by the FoodFluence platform. When a creator withdraws earnings from paid collaborations, FoodFluence may charge a platform service fee of between five percent (5%) and ten percent (10%) of the withdrawal amount. This fee will be deducted automatically from the amount withdrawn at the time of the withdrawal, and the applicable fee will be disclosed to you before you confirm the withdrawal. By requesting a withdrawal, you authorize FoodFluence to deduct the applicable fee. FoodFluence reserves the right to modify the fee percentage within this range at its discretion, and any changes will apply to withdrawals initiated after the change takes effect.

Creator compensation for paid collaborations is funded by the participating brand, and payment to the creator is contingent upon FoodFluence's receipt of the corresponding funds from the brand. In the event a brand fails to pay, defaults on payment, initiates a chargeback, or otherwise does not remit funds for a collaboration, FoodFluence shall have no obligation or liability to pay the creator the associated compensation, and shall not be liable to the creator for any resulting loss or damages. Any claim for unpaid compensation in such circumstances is solely between the creator and the brand.

14. FRAUDULENT ACTIVITY AND MISCONDUCT

Creators are expected to act in good faith when participating in campaigns through the Foodfluence platform. Any act of deception, dishonesty, or failure to fulfill agreed-upon deliverables may constitute fraudulent activity or misconduct. This includes, but is not limited to:

  • Accepting payment, reimbursement, or complimentary products/services with no intent to complete or deliver the required content or promotional activity.
  • Misrepresenting content performance, deliverable completion, or engagement metrics.
  • Submitting false, misleading, or plagiarized content.
  • Attempting to manipulate or bypass platform processes, brand requirements, or Foodfluence staff review.

Off-Platform Collaborations Prohibited

All collaborations, partnerships, and campaigns between brands and creators must be scheduled, verified, and processed exclusively through the official FoodFluence collaboration workflow within the FoodFluence web application. This process requires: (1) sending and accepting a formal collaboration invite through the platform, (2) scheduling the collaboration through the platform's scheduling system, and (3) uploading and verifying live links of completed content through the platform.

Collaborations arranged, executed, or facilitated through any means other than the official collaboration workflow are strictly prohibited. This includes, but is not limited to:

  • Arranging collaborations through the inbox or messaging feature without following the formal collaboration invite, scheduling, and link upload process
  • Direct communications, external payment processing, or agreements made outside the platform
  • Circumventing the official collaboration workflow in any manner

Any collaboration that does not follow the complete workflow of sending/accepting invites, scheduling through the platform, and uploading live links constitutes a material breach of these Terms of Service, regardless of whether initial contact was made through the FoodFluence platform.

Consequences of engaging in off-platform collaborations include:

  1. Fines: FoodFluence reserves the right to impose fines or monetary penalties on any party (brand or creator) found to have engaged in off-platform collaborations. Fines may be equal to the value of the collaboration, platform fees that would have been charged, or other amounts determined by FoodFluence at its sole discretion.
  2. No Guarantee of Compensation: FoodFluence makes no guarantees regarding any compensation, payment, or deliverables for collaborations conducted off-platform. Any agreements, payments, or arrangements made outside of the FoodFluence platform are not recognized, protected, or guaranteed by FoodFluence, and parties engage in such arrangements at their own risk.
  3. Account Suspension or Termination: Off-platform collaboration may result in immediate suspension or permanent termination of your account and access to the Services.
  4. Legal Action: FoodFluence reserves the right to pursue legal action to recover damages, fines, platform fees, and any other losses resulting from off-platform collaborations.

By using the Services, you agree that all collaborations must be conducted exclusively through the FoodFluence platform to receive protection, guarantees, and support from FoodFluence.

Foodfluence reserves the right to, at its sole discretion:

  1. Suspend or permanently terminate a creator's account.
